These Terms of Use ("Legal Terms") are a binding agreement between you and CM Plumbing Inc. ("Company," "we," "us," or "our"). 1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Some assets used in our Services, such as our logo and icons, were obtained under license from third-party platforms (e.g., logo.com or attribution-free icon libraries) and are used in accordance with their terms of use.

The Content and Marks are protected by applicable copyright, trademark, and other intellectual property laws. You may use the Services for your personal, non-commercial use or internal business purposes only, and you may not reproduce, distribute, or exploit any part of the Services or Content without our express written permission.

We do not claim ownership over third-party tools, services, or trademarks referenced or embedded in our website (such as Google Maps, Google Fonts, or Calendly). All third-party content is the property of its respective owner and is used only to support the functionality or accessibility of our Services.

Your Use of Our Services

Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our Services in the following ways:

  • Upload or transmit (or attempt to upload or transmit) any material that acts as a passive or active information collection or transmission mechanism, including but not limited to clear graphics interchange formats ("gifs"), 1×1 pixels, web bugs, cookies, or similar devices (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").
  • Interfere with, disrupt, or place an undue burden on the Services or the networks or services connected to them.
  • Harass, annoy, intimidate, or threaten any of our staff, subcontractors, or service providers involved in delivering the Services.

  • Copy or adapt the Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
  • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software making up or in any way forming part of the Services.
  • Use or launch any unauthorized automated system, including spiders, robots, cheat tools, scrapers, or offline readers, that accesses the Services, or use any script or other software without our authorization.
  • Use a purchasing agent or third party to make purchases on the Services without our express authorization.
  • Use the Services to compete with us or otherwise exploit the Services or Content for any commercial purpose not expressly permitted by us.

5. User Generated Contributions

The Services do not currently allow users to submit or post content directly through our website, such as through public forums or upload forms. However, users may share personal information, feedback, or photos as part of their interactions with us — for example, when submitting a review, sending images to describe a plumbing issue, or including their name or photo with a testimonial.

Please note that in the future, we may operate public social media accounts (e.g., on Facebook or Instagram) where users can interact with us by posting comments, tagging us, or otherwise engaging with our content. Any content you post on those platforms may be publicly visible and subject to the terms and privacy policies of the respective social media service.

By submitting feedback, reviews, or media to us (whether via email, text, or other private methods), you grant us permission to use that content — including your name or accompanying images if provided — for marketing or promotional purposes, such as displaying testimonials or showcasing work on our website, social media, or other materials. We will never post private content without your consent.

We are not responsible for any content that you post publicly on third-party platforms. Please avoid submitting any content that is confidential, unlawful, or violates the rights of others.

6. Contribution License

By submitting reviews, feedback, testimonials, or other content to us (collectively, "Contributions"), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute those Contributions for marketing, promotional, or operational purposes. This includes the right to publish your name or accompanying images, if voluntarily provided, unless you request otherwise.

You retain full ownership of your Contributions and any associated intellectual property rights. We do not claim ownership over the content you submit. However, by sharing Contributions with us, you agree that we may use them as outlined above, without further notice or compensation to you. You are solely responsible for your Contributions, including ensuring that they are lawful, do not violate the rights of others, and comply with our Prohibited Activities. You agree not to hold us liable for any claims arising from the content you provide.

By providing feedback or suggestions related to our Services, you agree that we may use such input freely and without obligation to compensate you.

7. Services Management

We reserve the right — but not the obligation — to take the following actions at our sole discretion:

  • Monitor the Services for violations of these Legal Terms
  • Take appropriate legal action against anyone who violates the law or these Legal Terms, including reporting such users to law enforcement authorities
  • Refuse access to, restrict availability of, limit, or disable any Contributions or portions of the Services, to the extent technologically feasible
  • Remove or disable content or files that are excessive in size or otherwise burdensome to our systems, without prior notice or liability
  • Manage the Services in a manner intended to protect our rights and property and to ensure the proper operation of the Services

8. Term and Termination

We reserve the right, at our sole discretion and without notice or liability, to deny access to the Services to any person for any reason — including, but not limited to, violations of these Legal Terms or applicable laws and regulations. This includes the ability to block access from specific IP addresses or remove any content you have submitted.

Although users cannot currently create accounts on our website, if that feature is added in the future, we also reserve the right to suspend or terminate any such account or access if necessary. You may be prohibited from re-registering under your name or another identity, even on behalf of a third party.

We may also pursue legal remedies — including civil, criminal, or injunctive actions — if your conduct violates these Legal Terms or causes harm to our business, Services, or users.

9. Modifications and Interruptions

We reserve the right to modify, update, or remove portions of the Services at any time, for any reason, and without prior notice. This may include changes to content, features, or pricing. However, we are under no obligation to update any information on our Services.

You understand and agree that we are not liable to you or any third party for any modification, price change, suspension, or discontinuation of the Services.

We cannot guarantee the Services will always be available. From time to time, we may experience hardware, software, or other technical issues, or need to perform maintenance, which may result in temporary interruptions, delays, or errors. We may also modify or suspend access to the Services at our discretion and without notice.

You agree that we are not responsible for any loss, damage, or inconvenience caused by your inability to access or use the Services during such periods. Nothing in these Legal Terms requires us to maintain or support the Services, or to provide updates, corrections, or future releases.

10. Governing Law

These Legal Terms and any dispute related to your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

By using the Services, you agree that any legal action or proceeding related to these Legal Terms will be brought exclusively in the state or federal courts located in Solano County, California. You consent to the jurisdiction and venue of those courts and waive any objection to the exercise of jurisdiction over you by such courts.

11. Dispute Resolution

We encourage you to contact us first if any dispute arises, so we can try to resolve it informally. Otherwise, please refer to the Governing Law section regarding applicable law and jurisdiction.

12. Corrections

The Services may contain typographical errors, inaccuracies, or omissions, including but not limited to descriptions, pricing, availability, or other content. We reserve the right to correct any errors, inaccuracies, or omissions, and to update or modify the information on the Services at any time, without prior notice.

13. Disclaimer

The Services are provided on an "as-is" and "as-available" basis. You agree that your use of the Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranties or representations about the accuracy or completeness of the Services’ content or the content of any websites or third-party tools linked to the Services. We assume no liability or responsibility for any:

  • (1) errors, mistakes, or inaccuracies in any content or materials;
  • (2) personal injury or property damage of any nature whatsoever resulting from your access to or use of the Services;
  • (3) unauthorized access to or use of our secure servers and/or any personal or financial information stored therein;
  • (4) interruption or cessation of transmission to or from the Services;
  • (5) bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Services by any third party; and/or
  • (6) errors or omissions in any content or materials, or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Services.

We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Services or any hyperlinked website, or featured in any banner or other advertising. We are not a party to, and are not responsible for monitoring, any transaction between you and third-party providers of products or services. As with any interaction or service request, you should use your best judgment and exercise appropriate caution.

14. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

15. Indemnification

You agree to defend, indemnify, and hold harmless CM Plumbing Inc., including our affiliates, officers, agents, partners, employees, independent contractors, and subcontractors we hire, from and against any loss, damage, liability, claim, or demand — including reasonable attorneys’ fees and expenses — made by any third party due to or arising out of:

  • (1) your use of the Services;
  • (2) your breach of these Legal Terms;
  • (3) your violation of any representations or warranties made in these Legal Terms;
  • (4) your violation of any rights of a third party, including intellectual property rights; or
  • (5) any harmful conduct toward another individual or entity in connection with your use of our website, social media accounts, or online content.

You acknowledge that any subcontractors hired by you are your responsibility, and you agree to indemnify and hold harmless CM Plumbing Inc. from any claims arising from their work.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate, at your own expense, with our defense of such claims. We will make reasonable efforts to notify you of any such claim, action, or proceeding if we have sufficient contact information to do so.

16. User Data

We may retain certain information that you submit through the Services, such as messages sent through contact forms or appointment requests made through third-party tools like Calendly, for the purpose of operating and improving the Services. While we perform regular backups and take reasonable steps to protect this data, we cannot guarantee that such data will never be lost or corrupted.

You acknowledge that you are responsible for maintaining copies of any important communications you submit, and you agree that CM Plumbing Inc. shall not be liable for any loss or corruption of data you choose to share with us.

17. Electronic Communications, Transactions, and Signatures

By visiting the Services, sending us emails, or submitting forms online, you are communicating with us electronically. 18. Miscellaneous

These Legal Terms, along with any policies or rules we post on the Services, represent the entire agreement between you and CM Plumbing Inc. regarding your use of the Services.

Our failure to enforce any part of these Legal Terms does not waive our right to enforce them later. These Terms operate to the fullest extent permitted by law, and we may assign our rights and responsibilities under them at any time.

We are not responsible for any delay, failure, or issue caused by circumstances beyond our reasonable control.

If any part of these Terms is found to be unlawful or unenforceable, that part will be removed, but the rest will remain valid and enforceable.

No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms or your use of the Services. These Terms will not be interpreted against us just because we wrote them.

You agree that these Terms of Use are legally binding even though they are provided in electronic form and are not signed in person.
